Terms of Service

1. Definitions

• Platform: The digital menu, ordering, and management software provided by BuzzMenu.
• Merchant: Businesses (restaurants, cafes, bars) utilizing BuzzMenu to serve their customers.
• End-User: Customers or diners who scan QR codes to view menus and place orders.

2. Service Description & Account Security

BuzzMenu provides a cloud-based operating system for venues, including QR ordering, KDS, and Waiter management. As a Merchant, you must provide accurate registration data and are fully responsible for maintaining the confidentiality of your account credentials (including staff PINs). We reserve the right to suspend accounts with suspicious or unauthorized activity.

3. Fees, Billing, and Payments

Payments processed through BuzzMenu (including upfront Cafe Mode ordering) are handled by Stripe Connect.

• Subscription: Merchants are billed on a recurring basis as outlined in their selected pricing tier.
• Transaction Fees: Orders processed via BuzzMenu may be subject to a platform transaction fee, which is deducted automatically at the time of payment.
• Refunds & Chargebacks: Merchants are fully responsible for handling diner refunds, chargebacks, and disputes. BuzzMenu is not liable for fraudulent transactions made by End-Users.

4. Acceptable Use Policy

You agree not to use the Platform in any way that is unlawful, fraudulent, or harmful. Merchants may not upload inappropriate, offensive, or illegal content (images, descriptions) to their digital menus. BuzzMenu reserves the right to remove non-compliant content and terminate accounts violating this policy.

5. Intellectual Property

All intellectual property rights in the BuzzMenu Platform, including code, design, and branding, are owned by us. Merchants retain all rights to their specific menu data, branding, and customer lists.

6. Limitation of Liability

To the maximum extent permitted by law, BuzzMenu is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied. We shall not be liable for any indirect, incidental, or consequential damages (including lost profits or lost data) arising from system downtime, errors, or third-party payment failures.

7. Indemnification

Merchants agree to indemnify and hold harmless BuzzMenu from any claims, damages, liabilities, or expenses arising from the Merchant's breach of these Terms, failure to fulfill orders, food safety issues, or disputes with End-Users.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in New Zealand.
